RHS Scheme of Arrangement

On 26 February 2018, RHS Limited (ASX: RHS) (RHS) announced that it had entered into a Scheme Implementation Agreement with PerkinElmer, Inc., under which it is proposed that PerkinElmer Holdings Pty Ltd, an indirect wholly owned subsidiary of PerkinElmer, Inc., will acquire all the shares in RHS for cash consideration of A$0.28 per share (Scheme).
The Scheme Booklet for the Scheme Meeting was released to ASX on 18 April 2018 and dispatched to RHS shareholders on 20 April 2018. The Scheme Meeting to consider and vote on the Scheme has been convened for 11.00am (Adelaide time) on Tuesday, 22 May 2018.
Shareholders may vote in person at the Scheme Meeting, or, if they are unable to attend the Scheme Meeting in person, they may vote by using the Proxy Form or by a duly authorised attorney. Proxy Forms must be received by no later than 11.00am (Adelaide time) on Sunday, 20 May 2018.
For the reasons outlined in pages 6 to 9 of the Scheme Booklet, the RHS Directors continue to unanimously recommend that RHS Shareholders vote in favour of the Scheme, in the absence of a superior proposal. The RHS Directors also have not changed their intention to vote in favour of the Scheme in respect of all RHS Shares over which they have voting control, in the absence of a superior proposal. No superior proposal has emerged since the announcement of the Scheme.
Shareholders should read the Scheme Booklet carefully and in its entirety before deciding whether or not to vote in favour of the Scheme.
What does this mean for shareholders?
If the Scheme is approved, RHS Shareholders will receive A$0.28 cash for every RHS share that they hold at the Scheme Record Date.
We encourage shareholders to receive payments directly to a nominated bank account. This helps reduce the impact on the environment, costs associated with printing cheques and delays receiving payment.

What will happen to my payments if I do not provide my banking details?
